Terms of Service – Respondly

1. Acceptance of Terms

By accessing or using the Respondly platform ("Service"), creating an account, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Service.

If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind that entity. These Terms apply to all users of the Service including business owners and their representatives.

2. Description of Service

Respondly provides an AI-powered lead capture and conversion platform ("Service") that enables businesses to deploy WhatsApp-based chatbots, manage leads, and automate customer engagement. The Service includes:

AI conversation management via WhatsApp (powered by OpenAI and Meta Cloud API)
Lead tracking and qualification dashboard
Property/listing management for real estate businesses
Usage analytics and reporting
Integration with Google Sheets for lead syncing
Website chat widget embed

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service you must register an account with accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at support@therespondly.com if you suspect any unauthorised access.

You must be at least 18 years of age and legally authorised to operate a business in your jurisdiction to register. Accounts representing fraudulent or illegal businesses will be terminated without notice.

4. Free Trial

New accounts receive a 7-day free trial on the plan selected at signup. During the trial:

You will be asked to authenticate a payment method with Razorpay. Authentication is a verification step — your card will not be charged during the trial period.
You have full access to all features included in your selected plan.
If you cancel your subscription before the trial ends, you will not be charged anything.
If you do not cancel, your first subscription payment will be automatically collected at the end of the trial period.

Respondly reserves the right to modify or end the free trial offer at any time. Only one free trial is available per business entity.

5. Subscription & Billing

After the free trial, the Service is billed on a monthly recurring subscription basis. By continuing past the trial, you authorise Respondly to charge your payment method through Razorpay each month until your subscription is cancelled.

Plan changes: You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle or immediately for upgrades.
Cancellation: You may cancel your subscription at any time from the Billing page in your dashboard. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.
AI Credit Packs: One-time credit top-ups are non-refundable and never expire.
Failed payments: If a payment fails, Razorpay will retry according to its retry policy. Access may be suspended after repeated failed payments.
Pricing changes: We will notify you at least 30 days in advance of any price changes.

6. Acceptable Use

You agree not to use the Service to:

Send spam, unsolicited messages, or engage in phishing or fraud
Violate WhatsApp's Terms of Service, Business Policy, or Messaging Guidelines
Harass, threaten, or harm any individual
Distribute malware, viruses, or any malicious code
Scrape or reverse-engineer any part of the Service
Exceed usage limits or circumvent rate limits or quotas
Collect or process personal data in violation of applicable law
Impersonate any person or entity

Violation of acceptable use policies may result in immediate account termination without refund.

7. WhatsApp & Third-Party Services

The Service integrates with WhatsApp (via Meta Cloud API), OpenAI, Razorpay, and Google Sheets. Your use of these integrations is also subject to the respective third-party terms of service. Respondly is not responsible for service interruptions, policy changes, or data handling by these third parties.

You are solely responsible for obtaining any necessary consents from your customers (leads) before communicating with them via WhatsApp, and for complying with all applicable messaging laws including the TRAI Telecom Commercial Communications Customer Preference Regulations and any local equivalents.

8. Data & Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you upload or collect through the Service ("Your Data"). By using the Service, you grant Respondly a limited licence to process Your Data solely to provide and improve the Service.

Upon account termination, we will retain Your Data for 30 days to allow export, after which it will be permanently deleted unless required by law.

9. Intellectual Property

Respondly and its licensors own all intellectual property rights in the Service, including but not limited to software, design, trademarks, and documentation. Nothing in these Terms transfers any IP rights to you. You may not copy, modify, distribute, or create derivative works of any part of the Service without our written permission.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Respondly does not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate or suitable for your business.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Respondly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid to Respondly in the three months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Respondly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate the relationship under these Terms at any time. You may terminate by cancelling your subscription and deleting your account. Respondly may terminate or suspend your account immediately for breach of these Terms, non-payment, or violation of applicable law.

Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 10, 11, 12, and 15 survive termination.

14. Changes to Terms

We may update these Terms from time to time. We will notify you by email or an in-app notice at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India. We encourage you to contact us first to resolve any dispute informally.
